Default Strange reboots

I just upgraded to a Q6600 and a P35-DS3R and i'm getting random reboots. All hardware currently in use is in sig:
Q6600 (running at 266*9 for stock 2.4 ghz)
Gigabyte GA-P35-DS3R
1 GB Crucial ValueSelect DDR2-533 (4-4-4-12. 1:1 ratio with cpu. 266 mhz)
2 Harddrives: 36 GB Raptor and Barracuda 320gb
8800 GTS 320mb
NeoHE 500w Everything is bare stock

Sometimes I'll be playing a game, other times I'll just be on msn or reading forums.

I've done the following:
-Reinstalled Windows.
-Prime95 crashes system after 1.5-2 hours (previous run).
-SuperPi 8m Pass
-Memtest86+ one pass revealed no errors.
-Tested rails of the system under stress (RTHDRIBL and Prime95). All rails are within spec. Suprisingly enough, they hardly dropped.

Right now I'm leaning towards the memory and luckily, if I'm right, it should be replaced VERY soon.

Well, you ran MemTest with no errors, so it might not be the memory. How are your temps?

Temps aren't the greatest but I'm not overclocking until I get that sorted out too (Swifty Storm =/= good quad core cooling).

At load all cores around ~50. But heat can't be the problem because reboots occur at near idle temps.

After the reboot, does windows give you a "windows shutdown incorrectly. windows will perform a test" screen?

Run memtest86 for 200-300%. It's good to have it go over your memory several times to make sure there aren't any problems. If it will fail, it will fail in first 100%.. but you never know. Its good to be certain. You could use new ram though :P

All drivers are up to date. Downloaded them from the nvidia and Gigabyte websites.

Reboot does not give any message. Event viewer is as clean as slate. No warning or error log.

I'll run memtest for 2-3 passes now.

RAM will be replaced. Some should be coming soon.

Almost sounds like an audio issue!
Are you running xp or vista?
If the board has realtec audio, go to the realtec web site and download the latest drivers from them

An audio issue? How did you come to that conclusion. That hasn't ever crossed my mind. It does use realtec audio... I'll do that now thanks.
