Help me find what part needs to be replaced

hitman got a good setup there... a P35 moptherboard which is stable and plenty of power, the Crucial is a great brand and the E4600 is half a click below the E7200.. pretty much all of the Intel processors from the E4600 to the E7200 perform withina few percentage points of each other but not enough of a difference for you the end user.
Also to help offset the costs of the parts, put the parts you have on ebay or find friends or family that can buy them from you for a reasonable price. Another idea is build/upgrade the system as mentioned above... but also spend a little bit of money on a cheaper motherboard with onboard video for your socket 939, get a basic 400W power supply (I got a Silverstone recently that would be perfect for your setup) and make a linux based home server for the system.
