OK, well, according to the Asus website that BIOS supports the E8400. Try disabling EIST (speed step) and see if that helps.

I say remount the CPU. Then hit delete and go into bios and set things like FSB manually @ 333. Set the memory timings manually along with the speed. Save and reboot.

Ok so if i understand correctly the only time this happens is when you make a change to the BIOS? Any other time and the computer runs stable?

If so, you have a software issue. What happens if you make a simple change such as Load Optimal Defaults?

i dont see a "load optimizes defaults" option. just a load setup defaults one. and when i select that the computer runs fine

I never recommend using software to overclock with, but in this case, we can use it as a troubleshooting device. You may want to load up the ASUS performance software and see if you can bump the FSB through there.

Are you sure you aren't pushing your FSB a bit and the Ram is shutting down everything because it's linked and you aren't using the dividers properly to keep the ram MHz reasonable?

I hate to refer you to a link but there is a great write up on this motherboard over at anandtech.

AnandTech: ASUS Maximus Formula SE: X38 and DDR2 Unite!

Read the article in its entirety. At the end of the article he explains some in depth changes to make in the BIOS for a stable 450fsb overclock. You will need to fill in the blanks though.

It doesnt sound like a software/BIOS issue. If it was then you would have experienced problems when you made ANY change to the BIOS. Sounds to me like your trying to run your memory too high. As Quakindude said, check your strap and ratio being used. The strap is going to determine which ratio is available to you. Always try and keep the strap as low as possible.

Read that Anandtech article. If you have a printer, print the article out so you can use it as reference material. Its alot easier to read on paper than on the screen, especially while trying to troubleshoot.

Hope that helps.

P.S. by the way, thats the board I hope to get once I can start building my machine so good luck and lets hear some good results.

it does this even when i only push the FSB up by 1. I'll try what anandtech reccomends and hopefully that'll work. Ive read great things about these boards and I'm hoping to get some good results as well.

1FSB you say? I had that exact same problem with my old Asus P5N32-E SLI Plus. What I ended up doing was downgrading BIOSes. It will take some time, but try and troll some forums/articles/whatever and find the best BIOS for your CPU.

EDIT: Anand Tech used the 0505 BIOS for their review.

so far, this seems like a common problem. the little lcd poster screen says "cpu init" and then restarts. think i may have to call asus on this one...
