You know this is tougher than it sounds. I took an E6600 with stock cooling to 3 Ghz and it ran stable, was just a little hot, was hitting 64c on a core temp under serious load in a moderately cool room.

I want to lean to the E6600 myself because of caution but then again the E4400 has a great track record. If you get it to 3 Ghz you SHOULD see around a 20% to 25% boost in raw CPU performance over an E6600 at stock.

I would choose the E4400 combo as well. It has great potential and is much cheaper. The upgraded cooling is worth it for overclocking, as well as for lowering noise levels. Which Zalman heatsink are you considering? You should also consider some of the coolers from Thermaltake, Thermalright, and Scythe.

By getting the E4400 and simply increasing the FSB from 200 to 260 (which I know you'll be able to do easily) you can get to 2.6GHz. And there are some times in which the GA-695P-DS3 has reached 400MHz on the FSB. If you can get to 300MHz you'll reach 3GHz on that proc. But you'll need a good cooler to do that (Zalman CNPS9500).

I've read many reports of that ram you have overclocking up to 900mhz with 5-5-5-15 and 2.0volts

The Corsair set is EXTREMELY awesome for OCing. You should have no problem with the extra RAM speed with the E4400 (which was in question about the memory divider).
